Josh Kaplan focuses his practice on structuring and negotiating complex real estate joint ventures and investments, in addition to advising clients in connection with securities offerings, mergers and acquisitions and general corporate matters. He specializes in providing legal counsel to sponsors and their financial collaborators in the establishment of partnerships with respect to the acquisition, development and ownership of real estate and other operating businesses. His extensive experience covers counseling on structuring, formation of, investment in, and securities offerings for, joint ventures, private placements, and real estate private equity funds. Going beyond individual transactions, Josh assists clients in devising and implementing effective business strategies which involves negotiating venture agreements and overseeing acquisition transactions across various industries, including real estate, cannabis and hospitality. 

With over a decade of experience as a transaction tax attorney, an LL.M. in Tax, and licensed as a Certified Public Accountant in the state of Florida (inactive), Josh possesses a unique advantage lending a strong tax background to his practice, which allows him to give clients a more holistic and strategic view of transactions. What makes you unique as a real estate joint venture lawyer?
Through my years of navigating many different types of transactions that cover a diverse array of asset types in different types of markets, I’ve learned how to articulate the nuanced issues of joint venture work in a way where people who don’t deal with it every day can understand the important issues to consider and the outcomes we are working toward. My clients find this approach refreshing, and they feel more confident of my counsel to them as a result of it.
What does your relationship with clients look like?
My clients view me as trusted counselor and advisor on the business and legal issues that affect each real estate transaction in which they are involved. By taking a broad, strategic approach to each client matter, I become closely involved in the development and execution of their business plans and long-term goals.
