Stacia Wells is an Associate in Bilzin Sumberg's Corporate and Business Finance & Restructuring Groups, where her practice focuses on all aspects of corporate finance, including securitizations, debt restructurings and workouts. She represents clients in debt capital market transactions, joint ventures and other secured and unsecured senior, mezzanine and subordinated financings. Stacia is experienced in all aspects of the Uniform Commercial Code, including secured transactions under Article 9.
Stacia's clients include private equity firms, commercial lending institutions and public and private companies in a variety of industries.
She has extensive experience representing borrowers, lenders, underwriters and trustees in sophisticated financing transactions, including loan syndications, mortgage warehouse lending, cash flow and asset based financings, real estate financings, interest rate swap and other derivative arrangements, debt and equity issuances, including 144(a) offerings, securitizations, acquisition financing, debtor-in-possession financing and intercreditor arrangements.
Recently, Stacia has devoted a significant portion of her time to the representation of mortgage originators and correspondents in developing strategies to prevent or minimize potential losses resulting from mortgage repurchase and indemnification demands. She focuses on crafting innovative solutions for her clients in the negotiation and documentation of master loan purchase agreements, mortgage repurchase agreements, flow servicing rights agreements and other mortgage warehouse arrangements. At the same time, Stacia provides substantive support to the firm in litigation matters involving mortgage repurchase and indemnification demands.
In addition to her corporate finance practice, Stacia is well-versed in all aspects of business reorganization and bankruptcy. She previously has represented debtors, secured creditors, unsecured creditors' committees, lenders, asset purchasers and indentures trustees in complex chapter 11 cases across numerous industries, including healthcare, retail, restaurant and automotive.
Previously, Stacia worked in the New York office of a well-known law firm, where she handled various private equity, corporate finance and restructuring matters.
