Marianne Kurlandski’s* practice focuses on the full life cycle of private equity transactions including venture capital and growth equity financing, mergers and acquisitions, leveraged buyouts, and divestitures. Marianne’s practice includes representing private equity sponsors and their portfolio companies on secondary transactions, equity syndications, co-investments, equity incentive arrangements and general corporate matters. In addition, she regularly counsels clients on sensitive matters and transformational corporate events, including fiduciary duties, executive compensation, dividend recapitalizations, and adversarial matters, among others. Marianne brings with her extensive experience working with distressed companies and on restructuring matters.

What skills do you bring to your corporate practice that clients appreciate?
Clients value my capacity as a detail-oriented strategic thinker in approaching their matters. I take the time to understand their long-term goals and the business considerations that inform a potential transaction before delving into the legal particulars of the matter at hand. In taking this approach, clients can trust that my counsel to them is fully informed and that the protection of their interests is top-of-mind.
What makes a great corporate attorney?
A skillful corporate attorney approaches client matters with a ‘yes’ mentality: the goal of advising on transactions is to bring them to fruition. To that end, they seek creative solutions that align with the business interests of the client and avoid getting stuck on contingencies that are unlikely to materialize. At the same time, experienced corporate attorneys will use the breadth of their counsel on a wide array of transactions to successfully identify where value can be added, and risks minimized, in negotiations on behalf of their clients for each deal. I find this innovative, experience-driven problem-solving to be an integral and fulfilling part my practice.
