Clay B. Roberts is Of Counsel in the Corporate & Finance Group, where he focuses on the representation of clients on corporate restructurings, investment entity structuring, and mergers and acquisitions. He also advises borrowers, issuers, lenders, private equity funds, and private investment funds in the negotiation of complex financings, including capital markets transactions, mezzanine loans, and note issuances.

Clay has substantial experience advising clients on bankruptcy reorganizations and litigating insolvency-related disputes. Clay has served as counsel to numerous debtors, creditor committees, investors, bondholders, and purchasers of assets in complex Chapter 11 cases and  currently serves as the Co-Chair for the Secured Creditors Subcommittee in the American Bar Association's Business Law Section. 

Q & A
How have recent economic developments impacted your clients?
With debt markets currently experiencing an environment of rising interest rates, this has translated into greater uncertainty for both corporate borrowers and lenders as they negotiate financing. For some borrowers, there is a sense of a more constrained lending environment with the end of the era of “easy money” as some have characterized the previous low interest rate environment. Given this increased volatility in debt markets, it is critical that the parties to financing transactions seek experienced counsel that can provide them with high-level advice on what the terms and conditions of different financing parameters in today’s shifting lending environment can have on their long-term business prospects. 
How has your involvement in the American Bar Association’s Business Law Section strengthened your practice?
As Co-Chair of the Secured Creditors Subcommittee of the ABA’s Business Law Section, I have received broad exposure to the latest issues and developments from both a business and legal side that are shaping commercial finance law and bankruptcy law. I serve alongside other talented attorneys with whom I exchange cutting-edge ideas and insightful experiences that often inform my counseling on client matters.
