Successful Defense of Hostile Takeover Bid for Maritime Company

Eller and Company, Inc.
Representation of Eller and Company, a large maritime company, in the defense of a hostile takeover bid by a minority shareholder. The litigation was fought simultaneously in three separate courts and included a series of related complex commercial cases.  The cases were followed by the press statewide. After almost a year of aggressive litigation and the production of hundreds of thousands of documents, the shareholder, on the eve of a risky pretrial hearing, agreed to settle the case by dismissing her actions and surrendering her remaining ownership interest in the company in exchange for certain discounted payments to be made by Eller. The client considers the settlement a complete victory.
