A Public-Private Partnership (P3) is an agreement between a government entity and a private partner to provide a public service or develop a public facility in a manner that divides the risks, rewards, and responsibilities between the public and private sectors. While these partnerships have many benefits, such as helping resolve public infrastructure challenges and stimulating job growth, they are governed by complex regulations and contractual arrangements that require sophisticated, experienced legal counsel. 

Bilzin Sumberg’s P3 Team has been the key legal representation on various multi-billion dollar Public-Private Partnerships in Florida. Bilzin Sumberg has extensive experience in public-private projects, including rail and transit facilities, airports, marinas, sports facilities, convention centers, healthcare/life sciences facilities, educational institutions, water and sewer facilities, parking structures, and various infrastructure developments. 

Our services are wide-reaching, but focus on: 

  • Government Contracting, including structuring teams and consortia, assisting clients with evaluating and responding to government solicitations and preparing oral presentations, legal analysis, and advocacy before selection committees and administrative personnel;
  • Lobbying, including competitive research, strategy development and advocacy, meetings with public officials, and public presentations;
  • Bid Protests, including defending and prosecuting bid protests at all levels of government and in the courts;
  • Transactions and Project Finance, including negotiating contracts and assisting with financing and structuring the development program utilizing both public and private finance approaches;
  • Educational Institutions, including assisting public educational institutions with developing and implementing a procurement plan and negotiating comprehensive P3 agreements; 
  • Multinational Companies – our P3 clients have included domestic, Asian, European, and South American companies and consortia seeking P3 opportunities in the states;
  • Real estate developers – we have guided our clients through P3s for a variety of public real estate developments, including convention centers, parking garages, public transportation facilities, and educational facilities.

Representation of All Aboard Florida, an affiliate of Florida East Coast Industries, Inc., in the procurement, land acquisition, and development of portions of the $2.4 billion high-speed passenger rail project connecting South and Central Florida.  Passenger service will be created in central Florida and will continue on Florida's east coast, with new stations planned in Orlando, Miami, Fort Lauderdale, and West Palm Beach. We are also assisting the client with its Miami “Grand Central Station”-like transportation and retail district, to include retail, office, residential, parking, and transit related components.

For the past 2 years, Bilzin Sumberg has been named a finalist for the national P3 Legal Advisor of the Year Award by P3 Hub Americas.

EXPERIENCE
Representation of CH2M, a global full-service consulting, design, construction, and operations firm, in securing the Owner's Representative contract for Miami-Dade County's $4 billion Ocean Outfall Legislation program. The 11-year Ocean Outfall project, mandated by the Florida legislature, will stop all wastewater discharge into the ocean by 2025. CH2M will manage the program, including the design, procurement, construction, and commissioning of over 25 capital projects. We provided strategy development and implementation, government contracting legal counsel, and advocacy before the County’s agencies, committees, and elected leadership. Our team was recognized as the 2015 finalist in the Daily Business Review "Most Effective Lawyers" Public Interest category for its contribution to the successful negotiation of this contract.
EXPERIENCE
Representation of real estate developer Bridgeport Landing in the $1 billion Public-Private Partnership redevelopment of a mixed-use project, situated on the 52-acre Steel Pointe peninsula in Bridgeport, Connecticut. The redevelopment will include a 2.85 million square foot complex of approximately 1,100 apartments, a hotel tower, 250,000 square feet of offices, 650,000 square feet of retail space and restaurants, garage and surface parking for up to 4,000 cars, a town square and lighthouse, a 375-boat slip marina, a 50-foot-wide boardwalk, a movie theater, and possibly, a heliport. Proposed to be built over a 10 to 15 year period, the project will bring the City of Bridgeport approximately $950 million in private investment.
EXPERIENCE
Representation of Miami Dade College in its invitation to negotiate (ITN) for the public-private development of a 4.5 acre area in the Miami Healthcare District. The proposed medical campus expansion includes a 170,000 square foot state-of-the-art center for learning and innovation, a 1,450-space parking facility, and a private mixed-use development. We are handling the management of the procurement process to select the college's private partner, governmental permitting and environmental issues, and project financing, as well as negotiating all real estate, joint venture, and related agreements with the selected developer.
