Assisted a high-net-worth client in restructuring the ownership of her majority interest in several accountable care organizations (the "ACOs") with respect to her long term estate tax planning. The restructuring ensured that the client owned both voting and non-voting membership interests in each of the ACOs, thereby helping reduce the value of the client's interests in the ACOs and allowing her to further leverage remaining estate tax exemptions.
