Represented an Insurance Group and its principal owners in the sale of the company to a strategic buyer for a combination of cash and rollover equity in the buyer. The transaction included a complicated earn-out for the sellers, an equity rollover of the purchase price, a Hart-Scott-Rodino pre-merger notification, inclusion and negotiation of reps & warranties insurance, and the negotiation of multiple employment agreements.
