Two More Corporate Attorneys Join Bilzin Sumberg Amidst Surge of Inbound Business and Wealth Migration in Florida

MIAMI, FL— As more companies and individuals migrate to Florida each day, Miami-based law firm Bilzin Sumberg is once again expanding its Corporate Practice Group with the addition of two attorneys: Partner David Resnick and Associate Robert W. Lee.

The news marks a return for Resnick, who previously spent five years at Bilzin Sumberg. Resnick’s practice is focused on joint venture transactions, fund formations, securities offerings, and corporate governance. He also represents real estate developers in structuring the financing and development of affordable housing. Lee joins the firm after serving as Corporate Counsel for TouchSuite, a Boca Raton-based financial technology firm which has ranked among Inc. Magazine’s list of the 500 fastest-growing private companies in America.

In the last 90 days, Bilzin Sumberg has added five new attorneys to its Corporate, Securities & Finance Practices, bolstering its ability to counsel companies both within Florida and outside of the state in matters ranging from capital raises and cross-border transactions, to private equity/debt placements and acquisitions and divestments.

Resnick has extensive experience representing foreign clients with their real property investments in the United States, including compliance with, and minimizing the tax consequences resulting from, the Foreign Investment in Real Property Tax Act (FIRPTA) and U.S.-based clients investing abroad. Resnick assists clients with navigating and finding structural solutions concerning Florida documentary stamp tax and nonrecurring intangible tax in the context of real property acquisitions, dispositions and financings, Florida sales and use tax. He is also well-versed in affordable housing finance, assisting developers in navigating regulatory requirements, structuring development agreements, and accessing tax credits.

Outside of his practice, Resnick serves as a member of the Executive Committee for United Way of Miami-Dade Young Leaders and a member of the International Council of Shopping Centers. He is also a member of the Alumni Association of the University of Michigan.

Lee specializes in mergers and acquisitions, structuring transactions, corporate taxation, and creating newly formed entities and joint ventures. During his tenure at TouchSuite, he led deal structure planning, due diligence, and the drafting of transaction documents. He also negotiated and finalized agreements with licensees, vendors, partners and clients. He brings expertise in the evolving technology space, having drafted sale and usage agreements for SaaS products (software as a service), service-level agreements, and data privacy policies. After graduating from St. Thomas University School of Law, Lee received his Master of Laws in Taxation from Georgetown University Law Center.
