Nick's practice focuses on the CMBS loan industry with an emphasis on representing CMBS loan servicers on a variety of business and legal issues involving servicing practices, procedures, and standards, pooling and servicing agreements, mezzanine loans, preferred equity, inter-creditor and co-lender agreements, and REMIC and rating agency questions. Nick has expertise in handling all manner of loan servicing files including loan assumptions, equity transfers, material alterations, partial releases, easements, collateral swaps, cash management, condemnations, loan modifications and SNDA/leasing matters. He also has experience in special servicing and loan servicing of distressed assets including forbearances, deeds in lieu of foreclosure and other loan workouts.

Nick also has experience representing private and institutional lenders in connection with the origination of secured loans and representing public and private companies with respect to various M&A transactions, equity offerings, and debt financings.

What do you find challenging about practicing law in the CMBS industry?

What I find both challenging and interesting about the CMBS industry is how expansive and multifaceted it is. The issues and trends we encounter are always changing in connection with business cycles and the broader economy, while individual transactions touch upon a variety of non-real estate sectors across all 50 states. In practice, this requires a keen awareness of the objectives of both our lender clients, and their borrowers, to offer innovative solutions to complex matters.

Do your clients appreciate a particular skill you have in handling their matters?

After practicing in the CMBS space for so many years, I’ve absorbed a great deal of knowledge on the business aspects of the industry, in addition to purely legal matters. I’m able to leverage this deep familiarity with the industry to offer strategic and practicable solutions in an efficient and cost-effective manner. My clients view such efficient problem-solving as a competitive advantage for their transactions.
