Appointment of Receiver in Chapter 11 Bankruptcy

Strategica Capital

Representation of Strategica Capital and certain related parties ("Strategica") in the chapter 11 case filed by Mark Ginsburg, a shareholder in National Laboratory Services, Inc. ("NLS"). On behalf of Strategica, we asserted claims seeking to enforce the shareholders agreement and consulting agreement under which Ginsburg and NLS were in default, and we defended against numerous claims asserted by Ginsburg. As of the petition date, NLS had an estimated aggregate equity value of over $40 million. We successfully obtained the appointment of a receiver for NLS in order to attempt to preserve equity value by pursuing a sale of NLS, pending the resolution of other litigation between the parties.
