Representation of major window and door manufacturer regarding the sale of one of its subsidiaries, a corrugated box manufacturing company. During the six months prior to our engagement, the client had been negotiating unsuccessfully with the purchaser. Our team succeeded in substantially redrafting all of the documents and then closing the transaction three weeks later, notwithstanding difficult negotiations with the purchaser's lender concerning the terms of subordination of the purchase money notes.
