Assisted owner of an online wholesale promotional products company in the sale of the company to a private equity firm, paid for in cash and rollover equity. We negotiated the sale price, purchase agreement, and related disclosure schedules, and negotiated employment agreements for the client and two other key executives. We also secured governance, minority protections, and other rights for our client, who retains part ownership of the company.
