Jose Sariego moderated the Director Liability, the Business Judgment Rule and Oversight of Corporate Purpose panel as part of the American Bar Association's virtual conference, "The New Normal of ESG Across Borders: Opportunities and Challenges for In-House Counsel". Panelists discussed the new ESG responsibilities of directors as corporate goals move beyond shareholder profit and as corporate boards face increasing public exposure and legal regulatory risks related to ESG issues. Panelists examined what these issues portend for director and C-Suite executive liability, the potential effects on directors’ willingness to serve, and how corporations can manage these risks and new responsibilities.
