Representation of a registered investment adviser in the formation, documentation, tax structuring and closings of an affiliated open-ended fund (hedge fund) to directly or indirectly invest in real estate-related debt. Assisted with all security laws compliance issues related to the private placement of interests in the hedge fund, including the preparation of the private placement memoranda, the subscription documents, limited liability company and managing member agreements, and the filing of Form D with the S.E.C. and State Blue Sky authorities.
